These terms of use are entered into by and between you and Mahj In The City, LLC ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use of www.mahjinthecity.com and www.mahjongbambirdscramble.com, including any content, functionality, and services offered on or through it (the "Website"), whether as a guest or a registered user.
Please read the Terms of Use carefully before you start to use the Website. By using the Website, or by clicking to accept or agree to the Terms of Use when that option is made available to you, you accept and agree to be bound by these Terms of Use and our Privacy Policy, incorporated by reference. If you do not agree, you must not access or use the Website.
The Website is offered and available to users who are 18 years of age or older and who reside in the United States or its territories or possessions. By using the Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all eligibility requirements. If you do not, you must not access or use the Website.
2. Additional Terms; Related Agreements
Additional terms and conditions may also apply to specific portions, services, or features of the Website, including registration for the Bambird Scramble league, use of our online registration and player portal, and participation in the League. In particular, your registration for and use of the Portal and the League are governed by our Service Terms and Conditions and Portal Terms of Use, and prizes, promotions, and giveaways may be governed by separate Official Rules. All such additional terms and conditions are incorporated into these Terms of Use by this reference and are intended to work together with them. If there is a conflict between these Terms of Use and the Service Terms and Conditions and Portal Terms of Use as to the Portal or the League, the Service Terms and Conditions and Portal Terms of Use control for those services.
3. Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Your continued use of the Website after we post revised Terms of Use means you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
4. Accessing the Website and Account Security
We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, including to registered users.
You are responsible for making all arrangements necessary to access the Website and for ensuring that everyone who accesses the Website through your internet connection is aware of these Terms of Use and complies with them.
To access the Website or some of the resources it offers, you may be asked to provide registration details or other information. It is a condition of your use of the Website that all information you provide is correct, current, and complete. You agree that all information you provide is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose or are provided with a username, password, or other credential as part of our security procedures, you must treat it as confidential and not disclose it to anyone else. Your account is personal to you, and you must not provide any other person with access to the Website using your credentials. You agree to notify us immediately of any unauthorized access to or use of your credentials and to exit your account at the end of each session. We have the right to disable any username, password, or other identifier at any time in our sole discretion, including if in our opinion you have violated these Terms of Use.
5. Intellectual Property Rights
The Website and its entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of the material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Website, except that:
• your computer may temporarily store copies of materials in RAM incidental to your accessing and viewing them;
• you may store files that are automatically cached by your web browser for display enhancement purposes;
• you may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution; and
• if we provide social media features with certain content, you may take such actions as are enabled by those features.
You must not modify copies of any materials from the Website, use any illustrations, photographs, video or audio sequences, or graphics separately from the accompanying text, or delete or alter any copyright, trademark, or other proprietary rights notices. You must not access or use any part of the Website or any services or materials available through it for any commercial purpose. If you breach these Terms of Use, your right to use the Website will stop immediately, and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in the Website or its content is transferred to you, and all rights not expressly granted are reserved by the Company.
6. Protection of Proprietary Materials; No Competing Use
The Website and the League reflect the Company’s proprietary materials, systems, program structure, methods, processes, branding, and know-how. In addition to the other restrictions in these Terms of Use, you must not, and must not permit or assist any other person to, directly or indirectly:
• copy, reproduce, modify, adapt, distribute, publish, or share the Company’s materials, forms, graphics, communications, training resources, website language, software features, or operational documents;
• use the Company’s program structure, methods, processes, strategies, or know-how to create, launch, operate, advise, promote, or assist a competing or substantially similar league, program, product, or service; or
• provide the Company’s materials or internal processes to another person or business for the purpose of developing or supporting a competing or substantially similar offering.
These restrictions are in addition to, and do not limit, the more detailed proprietary-rights and confidentiality provisions in the Service Terms and Conditions and Portal Terms of Use, which apply to registered participants.
7. Trademarks
The Company name, "Mahj In The City," "Bambird Scramble," the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors, whether or not registered. You must not use these marks without our prior written permission. All other names, logos, and marks on the Website are the trademarks of their respective owners.
8. Prohibited Uses
You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:
• in any way that violates any applicable federal, state, local, or international law or regulation;
• to exploit, harm, or attempt to exploit or harm minors in any way;
• to send or procure the sending of any advertising or promotional material without our prior written consent, including any junk mail, chain letter, spam, or similar solicitation;
• to impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity;
• to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or that may harm the Company or users of the Website or expose them to liability;
• to use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying material on the Website, or to use any manual process for the same purpose without our prior written consent;
• to use any device, software, or routine that interferes with the proper working of the Website, or to introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material;
• to attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the server on which it is stored, or any connected server, computer, or database, or to attack the Website via a denial-of-service or distributed denial-of-service attack; or
• otherwise to attempt to interfere with the proper working of the Website.
9. User Contributions
The Website may contain interactive features that allow users to post, submit, publish, display, or transmit content or materials (collectively, "User Contributions"). All User Contributions must comply with the Content Standards in Section 10. Any User Contribution you post will be considered non-confidential and non-proprietary. By providing any User Contribution, you grant us and our affiliates, service providers, and their and our licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose it to third parties for any purpose.
You represent and warrant that you own or control all rights in your User Contributions and have the right to grant the license above, and that your User Contributions comply with these Terms of Use. You are responsible for your User Contributions and their legality, reliability, accuracy, and appropriateness, and we are not responsible or liable to any third party for their content or accuracy.
10. Content Standards
User Contributions must comply with all applicable laws and must not: be defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable; promote sexually explicit material, violence, or discrimination; infringe any patent, trademark, trade secret, copyright, or other intellectual property or other right of any person; violate the legal rights (including rights of publicity and privacy) of others; be likely to deceive any person; promote any illegal activity; impersonate any person or misrepresent your identity or affiliation; involve commercial activities or sales without our consent; or give the impression that they emanate from or are endorsed by us if that is not the case.
11. Monitoring and Enforcement; Termination
We have the right to remove or refuse to post any User Contribution for any or no reason in our sole discretion; to take any action with respect to any User Contribution we deem necessary or appropriate, including if we believe it violates these Terms of Use, infringes any right, threatens safety, or could create liability; to disclose your identity to any third party claiming that material you posted violates their rights; to take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Website; and to terminate or suspend your access to all or part of the Website for any or no reason, including any violation of these Terms of Use.
YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES. We do not undertake to review material before it is posted and cannot ensure prompt removal of objectionable material after posting. We assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party.
12. Copyright Infringement
We respect the intellectual property rights of others. If you believe any User Contribution or other material on the Website infringes your copyright, you may notify us at the contact address in Section 22 with the information required for a notice under the Digital Millennium Copyright Act. It is our policy to terminate the accounts of repeat infringers.
13. Reliance on Information Posted

We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on it is strictly at your own risk. The Company is based in the State of North Carolina in the United States. We provide the Website for use only by persons located in the United States. We make no claim that the Website or any of its content is accessible or appropriate outside the United States. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
19. Disclaimer of Warranties
YOU UNDERSTAND THAT WE CANNOT AND DO NOT GUARANTEE THAT FILES AVAILABLE FOR DOWNLOADING FROM THE INTERNET OR THE WEBSITE WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR REQUIREMENTS FOR ANTI-VIRUS PROTECTION AND ACCURACY OF DATA INPUT AND OUTPUT. 21. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized, or your use of any information obtained from the Website.
22. Governing Law and Jurisdiction
All matters relating to the Website and these Terms of Use, and any dispute or claim arising out of or related to them (including non-contractual disputes or claims), are governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict-of-law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms of Use or the Website will be instituted exclusively in the federal or state courts located in Mecklenburg County, North Carolina, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts. Notwithstanding the foregoing, the Company may seek injunctive or other equitable relief for any actual or threatened breach of its intellectual property or proprietary rights in any court of competent jurisdiction, and each party consents to the jurisdiction of such courts for that purpose.
23. Limitation on Time to File Claims
YOU MUST BRING ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.
24. Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use is a further or continuing waiver of that term or condition or of any other, and any failure by the Company to assert a right or provision does not constitute a waiver of it. If any provision of these Terms of Use is held invalid, illegal, or unenforceable, it will be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.
25. Entire Agreement
These Terms of Use, our Privacy Policy, and, as applicable, the Service Terms and Conditions and Portal Terms of Use and any Official Rules constitute the sole and entire agreement between you and the Company regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
